WEBSITE SUBSCRIPTION SERVICE AGREEMENT

This Website Subscription Service Agreement (“Agreement”) governs the use of website subscription services provided by America First Marketing LLC (“AFM”).
Any individual, business, organization, or entity that submits payment and/or completes the onboarding process is referred to collectively as the “Subscriber.”
By enrolling in the subscription, the Subscriber agrees to all terms outlined below.

1. Scope of Services

AFM provides a done-for-you website under a subscription model. Services include:

  • Professionally designed website using AFM’s premium layouts
  • Home, About, Services, and Contact pages
  • Mobile optimization
  • Domain connection
  • Hosting and maintenance
  • Security updates
  • Platform and plugin updates
  • One revision round during the build phase
  • Launch and deployment

1.1 Services NOT Included (unless purchased separately)

  • e-commerce
  • membership or portal systems
  • booking systems
  • blogs
  • redesigns
  • new pages
  • video embedding
  • photo galleries
  • custom development
  • additional revision rounds
  • unlimited edits
  • branding or logo creation
  • social media services
  • advanced SEO
  • copywriting
  • custom integrations

Any services or features outside this scope require a separate quote and payment.

2. Subscription Term

The subscription requires a 12-month minimum commitment at $99 per month.

Subscription includes:

  • Hosting
  • Maintenance
  • Platform updates
  • Security monitoring
  • Technical support (as defined in this Agreement)

The subscription term begins on the date of the first processed payment.

3. Payment Terms

  • First month’s payment is required before work begins.
  • Billing renews automatically each month.
  • The Subscriber authorizes recurring payments for the duration of the Agreement.

3.1 Late Payments

  • A 5-day grace period is provided.
  • On Day 6, unpaid accounts are automatically suspended.
  • Suspension does not pause or cancel the Subscriber’s financial obligation.

3.2 Non-Payment (30 Days or More)

If an account remains unpaid for 30 days:

  • The subscription is considered in default.
  • The website remains offline until all past-due balances are paid.
  • AFM is not required to issue additional reminders.

4. Website Suspension

If payment is late:

  • The website will redirect to a “Website Unavailable” page.
  • AFM is not responsible for losses due to suspension.
  • Generally service resumes within 24 hours after payment is received.

5. Cancellation Policy

5.1 After the 12-Month Minimum Term

After the commitment period:

  • The Subscriber may cancel with written notice.
  • If the Subscriber wants the transferable site files, a $1,200 Buyout Fee applies.
  • If site files are not requested, the subscription ends with no additional fees.

5.2 Before the 12-Month Minimum Term

Cancellation attempts before the commitment is fulfilled require:

  • Payment of all remaining subscription months, and
  • Payment of the $1,200 Buyout Fee if the Subscriber wants the site files.

6. Site Ownership, Transfer & Environment

This service is provided under a subscription-based licensing model.

6.1 Ownership

  • AFM retains ownership of the website design, templates, structure, and licensed assets until the Buyout Fee is paid.
  • The Subscriber retains ownership of original content they provide (logos, images, text, etc.).

6.2 Buyout Fee (Site Release Fee)

After the 12-month term, transferable site files may be obtained by paying a $1,200 Buyout Fee, which covers:

  • Build rights
  • File export
  • Database preparation
  • Licensing release

6.3 Early Buyout

Before 12 months, the Subscriber must pay:

  • All remaining subscription payments, plus
  • The $1,200 Buyout Fee for file release.

6.4 Transfer Limitations

AFM does not guarantee:

  • Compatibility with third-party hosts
  • Plugin or theme compatibility
  • Functionality, speed, or uptime after transfer
  • Email or DNS configuration outside AFM’s environment

All post-transfer issues are the Subscriber’s responsibility.

7. Revision Policy (Build Phase)

One revision round is included during the initial build.

7.1 What a Revision Round Includes

  • One list of edits submitted simultaneously
  • Minor non-structural changes

Examples of included edits:

  • swapping photos
  • adjusting colors
  • updating text
  • minor layout tweaks
  • replacing a section with an existing module
  • button text edits

7.2 What Is NOT Included

  • redesigns
  • new pages or sections
  • new design direction
  • multiple rounds of feedback
  • custom features
  • structural layout changes
  • any request requiring more than 45 minutes

7.3 Additional Revision Rounds

Additional revision rounds are available for $75 each.

7.4 Post-Launch Edits (After Website Is Live)

After launch, any requested edits are considered Post-Launch Edits.

Examples of Post-Launch Edits:

  • swapping images
  • updating existing text
  • adjusting formatting
  • replacing content

These do NOT include:

  • new pages
  • layout changes
  • redesigns
  • rebranding
  • structural changes
  • custom features
  • copywriting

Cost:
Post-Launch Edits are billed at $35 per edit request (one batch submitted together).
Requests requiring more than 20 minutes receive a custom quote.

7.5 Fair Use of Support & Maintenance

Monthly fees include:

  • hosting
  • platform updates
  • plugin updates
  • security monitoring
  • uptime monitoring

These do not include:

  • ongoing design changes
  • repeated edit requests
  • branding updates
  • weekly content swaps
  • layout changes

AFM may limit or refuse excessive support outside fair-use boundaries.

8. Subscriber Responsibilities

Subscribers agree to:

  • provide all necessary materials (copy, images, logos)
  • complete onboarding forms accurately
  • provide correct domain login information
  • respond to AFM communications in a timely manner

AFM is not responsible for delays caused by Subscriber inaction.

9. Refund Policy

No refunds are issued for:

  • website builds
  • monthly subscription payments
  • early cancellation
  • failure to use the service
  • failure to provide required content
  • suspensions due to non-payment
  • changes of mind

The build is provided at no upfront cost; therefore, refunds are not applicable.

10. Liability Limitations

AFM is not liable for:

  • lost revenue
  • lost leads
  • business impact due to suspension
  • third-party outages
  • domain or email issues
  • user-submitted content errors

Subscribers are responsible for verifying the accuracy of all submitted content.

11. Termination by AFM

AFM may terminate service if any Subscriber:

  • engages in hostile or abusive communication
  • violates any terms of this Agreement
  • repeatedly fails to pay
  • demands work outside the paid scope

Outstanding balances remain due even if AFM terminates service for cause.

12. Contract Updates & Modifications

AFM may update, revise, or modify this Agreement at any time when operationally necessary.
Updated terms will be posted on the AFM website and/or sent via email.
Continued use of hosting, support, or services constitutes acceptance of revised terms.

13. Support Queue & Response Time

Support requests are handled in the order received.

Most requests are resolved within 2–3 business days.

Larger or custom requests may require additional time.

14. Entire Agreement

This Agreement represents the entire understanding between AFM and any Subscriber receiving services.
No verbal agreements or outside promises modify these terms.

15. Acceptance

By submitting payment and/or completing onboarding, the Subscriber acknowledges and agrees to all terms in this Agreement.
